These Terms of Service ("Terms") govern your use of the services provided by Smile or Die ("we," "us," or "our") including but not limited to our design services, consultations, and any other related services. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access our services.
By engaging our services, you agree to be bound by the terms and conditions outlined in these Terms. These Terms constitute a legally binding agreement between you and Smile or Die.
We agree to provide design services and related consultations as outlined in our agreement with you. The specific details of the services to be provided, including deliverables, timelines, and fees, will be set forth in a separate written agreement between you and Smile or Die.
You agree to pay all fees and charges associated with the services provided by Smile or Die as specified in our agreement with you. Payment terms, including deposits, milestone payments, and final payments, will be outlined in the agreement.
Unless otherwise agreed upon in writing, all intellectual property rights, including copyrights, trademarks, and any other proprietary rights, in the work produced by Smile or Die as part of the services provided shall belong to Smile or Die upon full payment by you.
We agree to maintain the confidentiality of any proprietary or confidential information provided by you in connection with the services. Likewise, you agree to keep confidential any proprietary or confidential information disclosed by Smile or Die.
To the maximum extent permitted by law, Smile or Die and its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the services provided.
Either party may terminate our agreement for services upon 30 days written notice to the other party. Upon termination, you agree to pay Smile or Die for all services rendered up to the effective date of termination.
These Terms shall be governed by and construed in accordance with the laws of Virginia, without regard to its conflict of law principles.
We reserve the right to modify or replace these Terms at any time. Any changes will be effective immediately upon notice to you. Your continued use of our services after the posting of any changes to these Terms constitutes acceptance of those changes.
